1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and ProxCore, a product of ProxCentral Platforms developed by DEVIPROX ("ProxCore", "we", "us", "our"). By creating an account, accessing, or using the ProxCore platform, you agree to be bound by these Terms.
If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation.
2. Description of Service
ProxCore is a multi-tenant business management platform that provides the following services:
- CRM (Customer Relationship Management): Customer and contact management, lead tracking, pipeline stages, and activity logging
- Financial Management: Quote creation and sending, invoice generation, expense tracking, payment recording, and accounting with journal entries and bank reconciliation
- Project Management: Kanban-style project boards, task management, and status tracking
- Time Tracking: Time entry logging with project and task associations
- Proposals: Proposal creation, templates, and client delivery
- Asset Management: Hardware and software asset inventory tracking
- Password Vault: Encrypted credential storage
- Calendar: Event scheduling and management
- Reports & Analytics: Business performance dashboards and reporting
- Client Portal: External portal for clients to view projects, invoices, quotes, and proposals
- Communication Integrations: WhatsApp Business API messaging and Twilio voice call integration
- File Management: Secure file upload, storage, and attachment to business records
- Billing & Subscriptions: Plan management and payment processing via Stripe
3. Account Registration & Organisations
3.1 Account Creation
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3.2 Organisations
ProxCore operates on a multi-tenant model. Each account belongs to an organisation. Organisation administrators ("Admins") can invite and manage members, configure settings, and manage the organisation's subscription.
3.3 Roles & Permissions
- Member: Standard access to business modules within the organisation
- Admin: Full access including settings, billing, integrations, and user management
- Sudo: Platform-level access reserved for ProxCore system administrators
4. Subscription Plans & Billing
4.1 Plans
ProxCore offers tiered subscription plans (e.g., Starter, Professional, Enterprise) with varying limits on users, customers, projects, and features. Plan details and pricing are displayed on the platform and may be updated from time to time.
4.2 Payment Processing
All payments are processed securely through Stripe. By subscribing to a paid plan, you agree to Stripe's Terms of Service. You authorise us to charge the payment method on file for recurring subscription fees.
4.3 Cancellation & Refunds
You may cancel your subscription at any time through the Billing page or Stripe Customer Portal. Upon cancellation, your subscription remains active until the end of the current billing period. Refunds are handled on a case-by-case basis at our discretion.
4.4 Plan Limits
Each plan has defined resource limits. If you exceed these limits, you may need to upgrade to continue using certain features. We will notify you before any service restrictions take effect.
5. Acceptable Use
You agree not to:
- Use ProxCore for any unlawful purpose or in violation of any applicable laws or regulations
- Upload, store, or transmit any malicious code, malware, or harmful content
- Attempt to gain unauthorised access to other organisations' data or accounts
- Interfere with or disrupt the platform's infrastructure or other users' access
- Use the platform to send unsolicited communications (spam) through WhatsApp or other integrations
- Reverse-engineer, decompile, or attempt to extract the source code of the platform
- Resell, redistribute, or sublicense access to the platform without written permission
- Use the Password Vault to store credentials for illicit or unauthorized access to third-party systems
- Circumvent or manipulate plan limits, billing, or usage tracking mechanisms
6. Your Data & Content
6.1 Ownership
You retain ownership of all data and content you upload or create on ProxCore. We do not claim ownership of your business data, customer records, files, or any other content you store on the platform.
6.2 Licence
You grant ProxCore a limited licence to use, process, and store your data solely for the purpose of providing the platform's services. This licence terminates when your data is deleted from our systems.
6.3 Data Isolation
All data is scoped to your organisation. We maintain strict multi-tenant isolation to ensure your data is never accessible to other organisations on the platform.
6.4 Backups
While we take reasonable measures to protect against data loss, you are responsible for maintaining your own backups of critical business data. We recommend regular data exports where available.
7. Third-Party Integrations
ProxCore integrates with several third-party services. When you enable these integrations, you agree to abide by the respective providers' terms:
- WhatsApp Business API (Meta): Subject to Meta's Platform Terms and WhatsApp Business Policy. You are responsible for compliance with WhatsApp's messaging guidelines.
- Twilio: Subject to Twilio's Acceptable Use Policy. You are responsible for complying with telecom regulations in your jurisdiction.
- Stripe: Subject to the Stripe Services Agreement. You are responsible for the accuracy of billing information.
- CurrencyFreaks: Subject to CurrencyFreaks' terms of use. Used for exchange rate data only.
We are not responsible for the availability, accuracy, or conduct of third-party services. Any issues with third-party integrations should be directed to the respective provider.
8. Client Portal
ProxCore provides a Client Portal feature that allows your clients to access selected business data (projects, invoices, quotes, proposals). You are responsible for the content made visible through the portal and for ensuring your clients are informed about how their data is used.
9. Intellectual Property
The ProxCore platform, including its design, code, branding, logos, and documentation, is the intellectual property of DEVIPROX / ProxCentral Platforms. You are granted a limited, non-exclusive, non-transferable licence to use the platform in accordance with your subscription.
10. Service Availability & Modifications
10.1 Uptime
We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible.
10.2 Changes
We reserve the right to modify, update, or discontinue features of the platform at any time. Material changes will be communicated with reasonable notice. Continued use after changes constitutes acceptance.
11. Limitation of Liability
To the maximum extent permitted by law, ProxCore and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising from your use of the platform.
Our total aggregate liability for any claim arising from these Terms or your use of the platform shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless ProxCore, DEVIPROX, ProxCentral Platforms, and their respective officers, directors, and employees from any claims, damages, or expenses arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.
13. Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct harmful to the platform or other users. Upon termination, your right to access the platform ceases immediately. Data deletion upon termination follows our Data Deletion Policy.
14. Dispute Resolution
Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached within thirty (30) days, disputes shall be resolved through binding arbitration in accordance with the laws of the jurisdiction where DEVIPROX is registered.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where DEVIPROX is registered, without regard to conflict of law principles.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email or in-app notification at least fourteen (14) days before they take effect. Continued use after the effective date constitutes acceptance.
